Red Flag Issues & Due Diligence Items to Explore

Franchise “Consultant” (Broker) Transparency

Prospects should be aware that some commissioned franchise brokers, calling themselves “consultants” are not adequately transparent that they earn referral fees of $30,000 plus on their franchise placements, nor that they only recommend franchises with whom they have referral arrangements.  This is a general observation fo all broker-represented franchise opportunities.

The Financial Condition of the Franchisor

The 2025 Building Kids Worldwide Franchise Disclosure Document (FDD) contains this required warning:

Financial Condition. The Franchisor’s financial condition as reflected in its financial statements (see Item 21) calls into question the Franchisor’s financial ability to provide services and support to you.

A Rising Number of Unopened Franchises

The FDD states:

Unopened Franchises. The franchisor has signed a significant number of franchise agreements with franchisees who have not yet opened their outlets. If other franchisees are experiencing delays in opening their outlets, you may also experience delays in opening your own outlet

The number of Sold Not Opened franchises has risen from 12 in 2022 to 20 in 2023 to 27 by the end of 2024.

Wrongful Death Suit Against the Founders, the Franchisor & Affiliates.

The Litigation section of the most recent FDD includes one franchisee lawsuit and a number of lawsuits against franchisees for nonpayment.

A recently filed wrongful death lawsuit filed against Building Kidz of Dublin, its parent companies, and the related companies (Building Kidz, Inc., Building Kidz Worldwide, LLC, Building Kidz Properties, LLC, Brilliant Minds Academy, and Brilliant Minds Investments LLC Alameda Superior Court) on October 13, 2025 has not yet been disclosed.

The lawsuit was filed by the parents of a 2 1/2 year old Matthew Bonneau, who died while napping at the affiliate-owned Dublin, CA Building Kidz School.   The lawsuit alleges that, on April 15, 2025, Matthew Junior,  was left unsupervised for 90 minutes, despite his known allergies and medical conditions, which required that he be monitored.
