DONUTNV Franchisee Mike Flowers Not Disclosed in FDDs?
I read a lot of Franchise Disclosure Documents (FDDs). Most are pretty straightforward and make the required disclosures, for the most part, honestly and accurately. The DonutNV FDDs are another story. A DonutNV franchisee used to promote the franchise opportunity publicly, Mike Flowers, is nowhere to be found in the past two FDDs. The existence of his Panama City, FL is not disclosed. The DonutNV franchisor and its attorneys don’t indicate that it opened, and whether it was closed, transferred or reacquired by the franchisor. Perhaps this unusually confusing situation (like that of John & Dana Owens, Rachelle & Thomas Hughes, and Daryl Poe) has a simple explanation that Amanda & Alex Gingold – and/or their attorneys – can explain. by Sean Kelly

“Mike Flowers” is such a great name and the story of how he went from Franchise Sidekick client to DonutNV franchisee to Franchise Sidekick franchise advisor makes for such a perfect dual -purpose testimonial, one might think he is an ai-created character.
That amusing thought veered toward conspiracy theory when I could not locate any mention of Mike Flowers or his Panama City DonutNV franchise in either the company’s 2023 or 2024 Franchise Disclosure Documents (FDDs).
A bit of searching shows ample evidence that, yes, Mike Flowers was, indeed, the DonutNV franchisee from January 2023 – January, 2024.
Former DonutNV Franchisee Mike Flowers Shares His Story
Mike Flowers’ story of going from Franchise Sidekick “client” to DonutNV franchisee to Franchise Sidekick advisor is widely publicized on company websites, YouTube and social media.
In this video, Mike Flowers recounts how he was actually a Franchise Sidekick “client” of advisor Curt Anthony who matched him with DonutNV.
Yet Neither Mike Flowers nor a Panama City, FL Franchise Appear to be Disclosed in DonutNV FDDs
According to Mike Flowers’ LinkedIn profile, he was the DonutNV franchisee for Panama City, FL from January, 2023 to January, 2024.
Mike Flowers reportedly sold his DonutNV franchise after his first year to join Franchise Sidekick as an advisor.
Yet neither of the DonutNV FDDs issued in April, 2023 and April, 2024, and submitted with its state registrations, disclose Mike Flowers as a DonutNV franchisee or a former franchisee.
Neither FDD appears to list a Panama City, FL franchise being opened, sold, transferred or closed.

If Flowers had signed his franchise agreement in January, 2023 that could explain why he wasn’t disclosed in the 2023 FDD.
While it was issued in April, 2023, the period being disclosed may have ended December, 2022.
However, the FDD issued in April 2024 would, presumably, have listed him (and his contact information) as either a current franchisee or as a franchisee who had left the system within the previous 12 months.
If he sold or transferred his franchise, that presumably would be disclosed as well.
Perhaps there’s a perfectly acceptable explanation. DonutNV is invited to explain why franchisee Mike Flowers & the Panama City franchise, transfer or closure was never disclosed in its FDDs.
Prospective Franchisees Should be Able Accurately Gauge Past Performance at a Glance
A single missing disclosure would not likely be cause for alarm – or a blog post. But the number of suspected franchisees, franchise locations and franchise transactions that don’t appear to be disclosed in current and/or past DonutNV FDDs seems noteworthy. These include:
- DonutNV franchisee Mike Flowers
- DonutNV franchisees Rachelle & Thomas Hughes.
- DonutNV’s 2nd Franchisee Daryl Poe
- DonutNV franchisees John & Dana Owens, Ocala, FL
We hope Alex & Amanda Gingold will be gracious enough to provide clarity on these matters.
DonutNV is invited to explain why these franchisees do not appear to have been disclosed, and to correct omissions going forward in their new and subsequent franchise documents and filings.
