What’s a Franchise Disclosure Document (FDD)?
The FDD is required of every franchise-selling company in the nation.
Franchise sellers must provide an up-to-date FDD to prospective franchisees at least 10 days prior to accepting any money or allowing them to sign the Franchise Agreement.
Franchisors are required to provide 21 “Items” of information including the backgrounds of the management, fees, obligations, etc.
Item 20 is of particular relevance for prospective JDog franchisees because it shows the number of franchises sold, opened, closed, transferred or ceased operation for other reasons for the previous 3 years.
Exhibit G lists current franchisees, franchisees who have bought but aren’t open yet, and franchisees who left the system in the previous year.
The introductory section “How to Use This Disclosure Document” contains warnings about franchising in general.
The JDog FDD also includes special warnings required by some states:
. 1. Out-of-State Dispute Resolution. The franchise agreement requires you to resolve disputes with the franchisor by mediation, arbitration and/or litigation only in Pennsylvania. Out-of-state mediation, arbitration, or litigation may force you to accept a less favorable settlement for disputes. It may also cost more to mediate, arbitrate, or litigate with the franchisor in Pennsylvania than in your own state.
. 2. Mandatory Minimum Payments. You must make minimum royalty or advertising fund payments, regardless of your sales levels. Your inability to make the payments may result in termination of your franchise and loss of your investment.
. 3. Turnover Rate. During the last 3 years, a high percentage of franchised outlets were terminated or transferred. This franchise could be a higher risk investment than a franchise in a system with a lower turnover rate.
